SOFTWARE-AS-A-SERVICE SUBSCRIPTION TERMS

Business customers (for consumer subscriptions, additional consumer-law provisions apply — see the drafting note)

These terms govern access to and use of __________ (the "Service") provided by __________ (Company Number: __________, registered in __________), whose registered office is at __________, VAT number __________ (the "Provider", "we", "us"), to the business or person that registers for an account (the "Customer", "you"). By creating an account or clicking to accept, you agree to these terms. If you accept on behalf of a business, you confirm you have authority to bind it.

1. DEFINITIONS

"Account" means your account for the Service. "Authorised Users" means your employees and contractors you permit to use the Service, up to the number in your Plan. "Customer Data" means data you or your Authorised Users upload to or create in the Service, including data imported from third-party services you connect. "Documentation" means our published guides and help pages. "Fees" means the subscription fees for your Plan. "Plan" means the subscription tier, user numbers and billing period you select at sign-up or later change. "Subscription Term" means the period in clause 4. "Trial" means any free trial period we offer.

2. THE SERVICE

(2.1) Subject to these terms and payment of the Fees, we grant you a non-exclusive, non-transferable right during the Subscription Term for your Authorised Users to access and use the Service and Documentation for your internal business purposes.

(2.2) We will: (a) provide the Service with reasonable skill and care and substantially in accordance with the Documentation; (b) use commercially reasonable efforts to make the Service available 24 hours a day with an uptime target of __________% per calendar month, excluding planned maintenance (notified at least 24 hours in advance and, where practicable, outside UK business hours) and events outside our reasonable control; (c) provide support by __________ during __________, responding within __________; and (d) maintain appropriate technical and organisational security measures as described in clause 9.

(2.3) [Service credits: if monthly uptime falls below the target, you may claim a credit of __________% of that month's Fees for each full 1% shortfall, up to __________% of the month's Fees, by request within 30 days. Credits are your sole remedy for availability shortfalls.]

(2.4) We may update and improve the Service from time to time provided we do not materially reduce its core functionality during a Subscription Term. We will give at least __________ notice of any change that materially reduces functionality, and you may terminate under clause 12.3 if you object.

Questions people ask

Is this a real contract or a form to fill in?

A complete document. You answer questions in plain English and Scorpia drafts every clause to match your answers, then a second review pass checks it before you see it. Nothing is left as a blank to fill in unless you chose to leave it for later.

Which law does it follow?

The law of England and Wales by default; Scotland and Northern Ireland are available where the document type exists there. The drafting notes behind each template are kept current with UK law.

What does it cost?

Your first document is a free preview: you read the opening section before paying anything. Unlock the full document for £9, or take a plan from £15 a month if you need several. No subscription is needed for a single document.

Can I edit, sign and send it?

Yes. Once unlocked, you edit every word online, add your logo, sign on the page and send the other party a private signing link, or export to Word and PDF.

Is Scorpia a law firm?

No. Scorpia is software that drafts and checks documents. It is not a law firm and does not give legal advice. For a dispute, a company sale or anything unusual, use a solicitor.
